Welcome to UAPK Platform. These Terms of Service ("Terms") govern your access to and use of our platform, services, and website (collectively, the "Service") operated by UAPK Platform GmbH ("UAPK", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

UAPK Platform is a digital marketplace and technology platform that enables:

• Creation of AI-driven business manifests (UAPKs)
• Trading and transfer of business manifests as NFTs
• Autonomous execution of business operations by AI agents
• Marketplace for business templates and operational knowledge

Account Creation

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Requirements

Users must be at least 18 years old and have full legal capacity to enter into contracts. Users are responsible for complying with all applicable laws in their jurisdiction.

Creation and Ownership

Users may create UAPK (Universal AI Processing Key) manifests that represent business operations. Upon creation, these manifests are minted as NFTs on the blockchain.

Creators retain intellectual property rights to the underlying business processes but grant platform users rights to execute, modify, and transfer the operational knowledge contained in the manifest.

Trading and Transfer

UAPK manifests can be traded, sold, or transferred on our marketplace. All transactions are:

• Recorded on the blockchain for transparency
• Subject to smart contract execution
• Final and irreversible once confirmed
• Subject to platform fees and marketplace terms

Execution Rights

Ownership of a UAPK manifest grants the right to execute the contained business operations using AI agents. However, execution is subject to:

• Compliance with applicable laws and regulations
• Technical feasibility and resource availability
• Platform terms of use and operational guidelines

As a user of our platform, you agree to:

• Only create lawful and legitimate business manifests
• Not use the platform for illegal or harmful activities
• Respect intellectual property rights of others
• Provide accurate information in manifest descriptions
• Not attempt to manipulate or exploit the platform
• Comply with all applicable laws and regulations
• Not interfere with the platform's technical infrastructure

You may not use our Service to:

• Create or distribute illegal content or manifests
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Engage in fraudulent or deceptive practices
• Transmit malware or harmful code
• Attempt to gain unauthorized access to our systems
• Use the platform for money laundering or terrorist financing
• Create manifests for illegal business operations

Platform Fees

UAPK Platform charges fees for various services including:

• Manifest creation and minting
• Marketplace transactions (buy/sell)
• Premium features and services
• AI agent execution services

Payment Terms

All fees are payable in cryptocurrency or fiat currency as specified at the time of transaction. Fees are non-refundable unless otherwise specified. Prices are subject to change with notice.

Platform IP

The UAPK Platform, including its technology, software, and intellectual property, is owned by UAPK Platform GmbH and protected by copyright, trademark, and other intellectual property laws.

User Content

Users retain rights to the business processes and intellectual property contained in their manifests. However, by using our platform, users grant us a license to:

• Display and promote manifests on our marketplace
• Use anonymized data for platform improvement
• Provide technical support and execution services

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of our Service, to understand our practices.

Business manifests may contain operational data that is stored on the blockchain. While blockchain data is pseudonymous, users should be aware that transaction history is publicly visible.

Our Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind.

We do not guarantee:

• The accuracy or completeness of manifest information
• The success of business operations executed from manifests
• The availability or performance of AI agents
• The security of blockchain transactions
• The value of UAPK manifests as investments

To the maximum extent permitted by law, UAPK Platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising out of or relating to these terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless UAPK Platform and its affiliates, licensors, and service providers, from and against any claims, damages, obligations, losses, liabilities, costs or expenses, including attorneys' fees, arising from or relating to your use of the Service.

These Terms shall be interpreted and governed by the laws of Germany, without regard to conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Berlin, Germany.

We reserve the right to modify these Terms at any time. If we make material changes, we will:

• Post the updated terms on our website
• Notify users via email or platform notification
• Provide a reasonable period for users to review changes

Continued use of the Service after changes constitutes acceptance of the modified Terms.
